Nicholas Ramessar specializes in insolvency and realization litigation matters, including mortgage foreclosure. He also has expertise in real estate and financing transactions. Acting as commercial litigation counsel for many years, Nicholas understands the economics and risks associated with banking and real estate transactions. He provides practical advice on minimizing risk and maximizing economic benefit for each transaction or recovery file based on his in-court experience.
Nicholas acts on behalf of financial institutions, trustees, secured and unsecured creditors in the realization of security and debt, as well as litigating on complex contracts and financial instruments. He also offers practical advice when dealing with complex commercial contracts, priority disputes, inter-creditor disputes and mortgage foreclosure actions to ensure a cost-effective recovery.
Nicholas also maintains a transactional banking practice focusing on debt financing transactions with a special focus on land-based security. He has extensive experience acting for lenders and financial institutions in secured and unsecured transactions including corporate lending, construction financing, and acquisition financing. Drawing upon his insolvency experience, Nicholas ensures enforceability by advising his clients on the structure of lenders’ security in complex transactions and inter-creditor matters.
Drawing on many years of land development litigation experience, Nicholas maintains a land-rights practice with a special emphasis on real estate, development and regulatory issues. As part of this practice, he acts as counsel on complex real estate transactions, such as land development and land titles matters, and assists developers, builders, and creative real estate investors with their projects. He has an in-depth understanding of land titles, subdivision and development appeal boards, all forms of real estate related transactions and land development issues.
Nicholas has an avid interest in decentralized finance, cryptocurrency, blockchain, and smart contracts. He has experience drafting contracts for decentralized finance transactions and deploying smart contracts on blockchain technology to facilitate financing transactions.
