  • Acted as lender’s counsel for $3 million financing to facilitate purchase of a King Air B200 aircraft, and coordinated local and international registrations securing same.
  • Acted as counsel for financial institution for the construction of the Telus Science Centre, including negotiating various contracts and priority agreement with the City of Calgary.
  • Acted as counsel for financial institution with respect to a $4 million committed reducing commercial mortgage facility to a holding company to finance the purchase of commercial space or commercial condominium requiring extensive review of multiple titles and negotiation of waiver of right of first refusal registered on title. Preparation of tenants estoppel certificates. In addition the financial institution provided financing to the related operating entity in the amount of $2 million with margining on 75% of its receivables, and additional funds to finance leasehold improvements, secured by general security interests, personal guarantees and cross guarantees (and supporting security) from the holding company.
  • Represented financial institution’s Commercial Mortgage Group with respect to $1.8 million financing to a limited partnership regarding a refinance of a multi-unit residential complex in Calgary.
  • Represented financial institution’s Commercial Mortgage Group with respect to a $7,475,713.00 term loan to take out construction lender secured by a multi-unit residential complex in Red Deer, Alberta.
  • Represented financial institution’s Commercial Mortgage Group with respect to a $3,562,500.00 financing to a limited partnership to facilitate the purchase of a multi-unit residential complex in Stony Plain, Alberta.
  • Represented financial institution for $10 million land development financing, involving the review and advice related to the joint venture’s and limited partnership’s interest in the project.
  • Acted as Alberta counsel for U.S. lender in $10 million financing in which I conducted document review from an Alberta perspective, delivered registrations, due diligence and opinions and negotiated several security documents including landlord waivers.
  • Acted on $50 million multi-jurisdictional Canadian transaction requiring coordination of opinions, registrations, and due diligence from multiple jurisdictions together with Bank Act security. Negotiation of the credit agreement, several priority agreements, consents and waivers were required. The credit facility provided inventory and operating credit facilities as well as a facility enabling the closing of an acquisition.
  • Acted on $30 million multi-jurisdictional refinance transaction involving multiple borrowers and cross guarantees. Negotiation of the credit agreement, priority agreements and non-sheltering letters were required. The credit facility provided inventory and operating credit facilities.
  • Negotiated credit agreement, security agreements and opinions on multi-jurisdiction and cross border transaction involving multiple corporate entities. Extensive due diligence reports and summaries were prepared nationally and in the U.S., blocked account agreements were entered into by the various corporate entities. Multi-jurisdictional opinions were drafted and negotiated. Corporate authorizing documents were drafted specifically for each jurisdiction. Agents were coordinated across the country and in the U.S. to complete registrations including Bank Act security in Canada.
  • Acted on $20 million term and operating loans to facilitate the purchase of hotel and finance on-going operations, secured by mortgage and general security interest and guaranteed by several corporate entities and individuals. The transaction involved extensive due diligence.
  • Acted on $10 million interim loan facility to finance land development for residential development purposes. The borrowers were made up of a joint venture and a limited partnership with foreign investors. Beneficiary authorization and charge agreements were prepared and authorizing resolutions and certificates were prepared and negotiated specific to the entities involved.
  • Acted on $7 million loan consisting of construction and revolving operating credit facilities to home builder supported by grants of mortgage and general security interests, and personal and corporate guarantees. Numerous priority agreements, assignments and consents were obtained. The loan was drawn based on progress of construction.
